1. Acceptance of Agreement

By using the NeoLogic website (hereafter referred to as “Site”), accessing information presented on it, downloading artwork, images, logos, drawings, videos, or viewing presentations and videos on the website, you agree to the Media Terms of Use outlined in this document. If you do not agree to the following Media Terms of Use, do not use the Site or download any materials from the Site. These Media Terms of Use constitute an agreement between you and us regarding acceptable use of this Site and its media content and form a legally binding agreement. These Media Terms of Use may be amended at any time by us without notice to you. Those engaged in various relationships with us including but not limited to vendors, distributors, resellers, and dealers may have other agreements that shall clarify or add to their use of our materials as well. However, said additional agreements shall be viewed as addendum to this Terms of Use and shall not supersede this document. These Media Terms of Use will be updated periodically. Review these Media Terms of Use prior to using this Site and again from time to time when returning to this Site. Continuing to use the NeoLogic website and any information hosted on or contained therein, including the information and files hosted or published on various channels owned by or participated in by NeoLogic denotes your agreement and acceptance of these terms. If you cannot access these Media Terms of Use via the Internet, we can provide a copy of the most recent Media Terms of Use by e-mail upon request.

2. Ownership and Retention of Rights

“Media Files” shall include any artwork, graphics, images, logos, product names, slogans, drawings, photographs, promotional brochures, .pdf documents, videos, digital images, audio/visual recordings and all other related materials of NeoLogic. Media Files are protected under applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property) rights. Use of these media files by viewing, copying, or distribution through any form including print or electronic will not negate our ownership of said files. Use of these media files does not give you any authority, ownership, or membership in NeoLogic or any of its entities.

3. Trademarks

Neo-Pure, Neo-Vas, and Neo-Tote (hereafter referred to as “entities”) along with their respective logos, slogans, and media files are trademarked and owned by NeoLogic. Any use of these named entities or future, unnamed entities and their respective trademarks not approved in this Media Terms of Use may violate NeoLogic’s trademark rights. NeoLogic retains all ownership to these entities, their logos, slogans, and respective media files.

4. Limited Right to Use

As a dealer, reseller, or merchandiser, you have a limited right to use NeoLogic media files and those belonging to its respective entities for the purposes of promotion, education, and sales. Misrepresentation and falsification of NeoLogic, its respective entities, products, or services is not permitted, including the use of media files to promote, advertise, or sell other items that are not created, manufactured, or distributed by NeoLogic. These media files may not be used by other entities or persons who are not an authorized reseller for NeoLogic. If you would like to use these trademarks or media files associated with NeoLogic and its divisions or entities in some other way not outlined in this terms of use, please contact us with your request.

5. Editing, Deleting and Modification

We reserve the right in our sole discretion to edit or delete any Media Files and enforce our ownership of said files by recalling or cancelling the distribution of said files. Resellers and authorized distributors have limited rights to modifiy Media Files for the purpose of education, promotion, and sales. This may include the placement of the authorized distributor logos on brochures and videos or screen-printing additional logos onto Neo-Totes. The NeoLogic labeling and branding must remain the same, across our product offerings. Products may not be relabeled under a different company brand or name, and our logos and branding may not be altered, edited, or deleted in any way; such behavior will be considered misrepresentation of the NeoLogic brand.

6. Indemnification

You agree to indemnify, defend and hold NeoLogic and our partners, attorneys, staff, employees, agents and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney’s fees and costs, related to your violation of this Agreement.

7. Miscellaneous

The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against either party. To the extent that anything in or associated with the Media Files is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. NeoLogic’s failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision or of the right to enforce such provision.
